These terms of use are entered into by and between You and Bid4Birds, LLC (“Company,” “we,” or “us”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms of Use”) govern your access to and use of https://www.bid4birds.com, including any content, functionality, and services offered on or through https://www.bid4birds.com (the “Website”), whether as a guest, registered user, Seller, or Bidder.
Please read the Terms of Use carefully before you start to use the Website. By using the Website, you accept and agree to be bound and abide by these Terms of Use. If you do not want to agree to these Terms of Use you must not access or use the Website.
This Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.
Changes To Our Terms of Use
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website.
Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time when you access this Website so you are aware of any changes, as they are binding on you.
We Connect Sellers and Bidders
Bid4Birds connects those offering aircrafts, aircraft parts, and memorabilia (“Product(s))” for sale (the “Sellers”) and those looking to purchase such Products (the “Bidders”). Our Services act as a meeting place between Sellers and Bidders. However, the contract for sale, for the Product available for sale by Seller through our Services and Website is directly between the Seller and the winning Bidder. We only provide a platform to connect Sellers to Bidders, but sales agreements for Products are solely between the Seller and winning Bidder.
Before bidding on, acquiring, or agreeing to purchase a Product from any Seller, Bidders are responsible for determining and evaluating the suitability of the Product. We are only responsible for connecting Sellers and Bidders. We are not responsible for ensuring the quality or other standard for any Product on the Website. We are not responsible for ensuring the accuracy of information provided about a Product on our Website by the Seller or Bidder, including the accuracy of credentials of a Product. Seller acknowledges and agrees that they shall make reasonable efforts to complete the sale of their Product if they accept a winning bid. Bidder acknowledges and agrees that if they are the winning bidder in an auction through the Website, the bid is binding on them, and Bidder is responsible for all applicable government fees and taxes for the Product. We do not control the actions of users of our Website, including the actions of Bidders, Sellers, registered users, or guests. Sellers on our Website are not our employees.
Once a Seller has placed a Product up for auction through the Website, they may not remove the Product until the auction has ended. While a Product is listed for auction on the Website, Seller may not list or make available such Product on any other auction, dealership, listing service, publication, or website providing services similar to or the same as ours.
WE DO NOT DIRECTLY OFFER THE SELLER PRODUCT. YOU HEREBY ACKNOWLEDGE THAT WE DO NOT SUPERVISE, DIRECT, CONTROL, OR MONITOR THE SELLER PRODUCT AND EXPRESSLY DISCLAIM ANY RESPONSIBILITY AND LIABILITY FOR THE SELLER PRODUCT, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OR CONDITION OF QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, OR COMPLIANCE WITH ANY APPLICABLE LAW, REGULATION, OR CODE.
Accessing Our Website and Account Security
We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users.
You are responsible for both:
- Making all arrangements necessary for you to have access to the Website.
- Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.
To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy , and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.
Information About Other Users
You may not collect any information from or relating to another user (“User Information”) on the Website, when offering or bidding on Products, or otherwise, beyond what is necessary to complete your diligence and the transaction. Once an auction has concluded, you must destroy or erase all User Information you obtained from or about the user. It is your responsibility to collect, use, maintain, and transmit all User Information in compliance with all applicable laws.
The Cost of Our Services
It is free to register for our Website’s services (“Services”) but in order to use some of our Services you may be required to pay a fee. If you decide to use certain Services of ours, you agree to the Fees terms set forth below and on our How it Works Page. We may amend our Fee terms from time to time.
Fees
For Sellers:
We offer three different listing packages that best fit your needs as a Seller. You will incur no additional fees beyond that of the listing package you purchased, following a sale of your Product. If a winning bidder backs out of payment for your Product(s), we will pay you a portion of our commission fees received for that Product. For more information go to How it Works.
For Buyers:
If you win a bid for a Product listed on our Website, you will be required to pay us an auction fee (“Auction Fee”). For aircraft purchases, the Auction Fee will equal 5% of the purchase price (up to a maximum of $5,000). For memorabilia, parts, and avionics purchases, the Auction Fee will equal 8% of the purchase price. As the winning bidder, the hold on your credit card will be charged as payment for the Auction Fee after the auction ends, once we verify that you are the highest bidder and that reserve is met.
Our Fees are non-refundable. However, you may receive a refund on Whelon products offered through our Website. All of our customers are responsible for paying, withholding, filing, and reporting all necessary taxes, duties, and any other governmental assessments associated with their purchase through our Services and Website, and we are not responsible for any such taxes, duties, or other governmental assessments that you may incur.
Intellectual Property Rights
The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms of Use permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website not owned by you, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
- You may store files that are automatically cached by your Web browser for display enhancement purposes.
- You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
- If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
- If we provide social media features with certain content, you may take such actions as are enabled by such features.

- We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.
Monitoring and Enforcement; Termination
We have the right to:
- Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
- Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.
- Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.

Content Standards
These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:
- Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
- Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.

Copyright Infringement
If you believe that any User Contributions violate your copyright, please see the procedures described in this section for instructions on sending us a notice of copyright infringement. It is the policy of the Company to terminate the user accounts of repeat infringers, and we reserve the right to block access to or remove material that we believe to be illegally copied and distributed.
Your Copyright Infringement Rights
Copyright Infringement Notification under the DMCA:
To file a copyright infringement notification with Company under the U.S. Digital Millennium Copyright Act (the “DMCA”), you, as the complaining party (the “Complaining Party”) must send a written notice to the designated agent identified below containing substantially the following information.

Counter Notification:
To file a counter notification with Company under the DMCA, you, as the alleged infringer (the “Alleged Infringer”)” must send a written notice containing substantially the following information.

- A physical or electronic signature of the Alleged Infringer.
- Identification of the particular Content that has been removed or to which access has been disabled and the location before removal.
- A statement that the Alleged Infringer has a good faith belief that the particular Content was removed or disabled as a result of mistake or misidentification of the Content to be removed or disabled.
- The Alleged Infringer’s name, address, and telephone number, and a statement that the Alleged Infringer consents to the jurisdiction of Federal District Court for the judicial district in which the address is located, or if the Alleged Infringer’s address is outside of the United States, for any judicial district in which Company may be found, and that the Alleged Infringer will accept service of process from the Complaining Party who provided notification.
If a counter notice is received by us, our designated agent (the “Designated Agent”) may send a copy of the counter notice to the Complaining Party, informing them that we may replace the removed Content or cease disabling it in ten (10) business days. If the copyright owner does not file an action against the Alleged Infringer, the removed Content may be replaced or restored, at our discretion.
